These Terms and Conditions govern Your use of the Service operated by RA Controls LLC. By accessing or using the Service, You agree to be bound by these Terms. If You disagree with any part of these Terms, You may not access the Service.

Your use of the Service is also governed by Our Privacy Policy, which describes how We collect, use and protect Your information.

Interpretation and Definitions

Definitions

For the purposes of these Terms and Conditions:

• Account means a unique account created for You to access our Service or parts of our Service.
• Company (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to RA Controls LLC, a Texas limited liability company doing business as Rodeo Automation.
• Country refers to: Texas, United States.
• Device means any device that can access the Service such as a computer, a cellphone or a digital tablet.
• Equipment means the automation, monitoring and control hardware supplied or supported by the Company.
• Service refers to the Website, the mobile application, and the monitoring, alerting and automation features provided by the Company.
• You means the individual accessing or using the Service, or the company or other legal entity on behalf of which such individual is accessing or using the Service.

Accounts

When You create an Account with Us, You must provide information that is accurate and complete. You are responsible for safeguarding the password used to access the Service and for any activity under Your Account. You must notify Us immediately upon becoming aware of any breach of security or unauthorized use of Your Account.

Use of the Service

You agree not to use the Service:

• In any way that violates any applicable federal, state, local or international law or regulation.
• To attempt to gain unauthorized access to, interfere with, or disrupt any part of the Service or the Equipment of others.
• To transmit any material that is unlawful, harmful, or intended to damage or impair any computer system.

SMS Messaging Terms

Program Description

RA Controls LLC sends three kinds of text message, and only to a mobile number You have provided to Us Yourself:

• Account verification codes. A one-time code sent when You sign in to Your Account or when We need to confirm it is You. These are sent only in response to an action You have just taken.
• Equipment alerts. Automated messages reporting the status of monitoring and automation Equipment You own — for example, a control system that has stopped responding, or a fault condition that needs attention. These are sent only for alert conditions You have configured.
• Product news and offers. News about Our products, updates and offers. These are marketing messages and require Your separate express written consent: a dedicated opt-in in Your Account, unchecked by default and distinct from the service alerts above. Agreeing is never a condition of any purchase, and consenting to equipment alerts does not consent You to these.

We do not send messages to numbers obtained from any source other than You, and We do not share mobile information with third parties for marketing purposes. Each consent is independent: You may switch either off at any time in Your Account, or stop all messages by replying STOP.

Message Frequency

Message frequency varies. Verification codes are sent only when You request one by signing in. The number of alert messages You receive depends on the alert conditions You configure and on the behavior of Your Equipment. Product news is sent infrequently.

How You Consent to Receive Messages

You provide Your mobile number Yourself — either in Your Account settings, or when configuring alerting on Equipment You own. Consent is given at that point, is never a condition of purchase, and is never pre-selected on Your behalf. We do not buy, rent, or import phone numbers from any third party, and We never enroll a number You have not given Us. Verification codes are sent only in response to a sign-in You have just initiated.

Service alerts and product news are two separate consents, shown as two separate checkboxes in Your Account, each unchecked until You tick it. Ticking one does not tick the other. Marketing consent in particular is express written consent, given by that affirmative act, and We record when You gave it.

Cost

Message and data rates may apply. Any charges are determined by Your mobile carrier and are Your responsibility. RA Controls LLC does not charge for alert messages.

How to Opt Out

You may cancel SMS alerts at any time by replying STOP to any message. You will receive a single confirmation message, after which no further messages will be sent. To resume receiving messages, reply START. You may also disable alerts in Your Account settings.

Carrier Liability

Carriers are not liable for delayed or undelivered messages. Alert messages depend on mobile network availability and are not guaranteed to arrive. You should not rely on SMS alerts as the sole means of monitoring safety-critical Equipment.

Privacy

Mobile information will never be shared or sold to third parties or lead generators for marketing or promotional purposes. See Our Privacy Policy for full details on how We handle Your information.

Intellectual Property

The Service and its original content, features and functionality are and will remain the exclusive property of RA Controls LLC and its licensors. The Service is protected by copyright, trademark and other laws of both the Country and foreign countries.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall the Company be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation loss of profits, data, or property damage, arising out of or in connection with Your use of or inability to use the Service, including any failure or delay of an alert message.

Termination

We may terminate or suspend Your Account immediately, without prior notice or liability, for any reason, including if You breach these Terms. Upon termination, Your right to use the Service will cease immediately. You may terminate Your Account at any time as described in Our Privacy Policy.

Governing Law

The laws of the State of Texas, United States, excluding its conflicts of law rules, shall govern these Terms and Your use of the Service.

Changes to These Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, We will make reasonable efforts to provide notice prior to any new terms taking effect. By continuing to access or use Our Service after revisions become effective, You agree to be bound by the revised terms.
